Chian Fuong’s area of practice is in mergers and acquisitions, joint ventures, private equity investments, joint development, telecommunications and technology and general corporate and commercial law.

 

Before joining private legal practice, he began his career as an in-house legal consultant for one of the largest department store-cum-supermarket operators in Malaysia. The experience and knowledge that he has both as a private legal practitioner and in-house legal consultant, enables him to approach his clients’ legal matters from a unique perspective and to offer legal solutions that are robust whilst being grounded in commercial realities.

 

Some recent transactions which Chian Fuong has handled include:

 

  • Advising a local group of companies on the offering of the Voluntary Separation Scheme (VSS) to all eligible staff.
  • Advising a government-linked private equity firm in its proposed investments into local companies in the logistics and education space with a focus on digital solutions in the logistics industry and on digital classrooms.
  • Advising a Malaysian listed company in its venture capital investment in online learning platform operators and retail solution for in-store sales optimisation, customer engagement and retail management.
  • Advising on the proposed acquisition of a majority equity interest in a company in the particleboard or chipboard industry listed on the Main Market of Bursa Malaysia and the resulting mandatory offer to the remaining shareholders of the target company.
  • Advising a local solar energy consortium on production and sale of solar energy via virtual power purchase agreement.
  • Advising a large multinational company headquartered in Europe in its bid to supply solar renewable energy to a large hypermarket chain at multiple locations in Malaysia.
  • Advising a foreign multinational integrated energy company on the proposed entry into a private power purchase agreement to supply electricity to a local customer under the recently updated Net Energy Metering scheme via financing through third party ownership.
  • Advising a foreign investment holding company on the acquisition of 100% of the shares in 2 solar power producers, being the operating company of the 5.24MW solar project located in Arau and the operating company of the 5.24MW solar project located in Gebeng.
  • Advising on a collaboration involving three major telecommunications operators in Malaysia on the sharing of network facilities including deployment and operationalisation of fibre infrastructure.
  • Advising a leading communications service provider in Malaysia for its network sharing and collaboration with respect to the 2600MHz spectrum.
  • Advising a leading communications service provider on potential collaborations with other telecommunications operators in Malaysia on the sharing of network facilities including deployment and operationalisation of 5G infrastructure and fibre infrastructure.
  • Advising a foreign state-controlled company involved in the manufacture, distribution and provision of technical services of communication products in its collaboration with a local player as a service provider for the development of 5G telecommunications network and infrastructure in Malaysia.
  • Advising local telecommunications infrastructure services companies on several ongoing proposed acquisitions of telecommunications towers in Malaysia.
  • Assisting in the restructuring of an existing development agreement and agreement to lease as a result of the internal reorganisation process of one of Malaysia’s leading conglomerates.
  • Advising various local ventures in exploring alternative capital raising, including peer-to-peer lending and interest scheme arrangements.
  • Assisting local new ventures in setting up their operations, including drafting and reviewing the privacy notice, terms of services, master software licence and service agreement and other service agreements.
  • Advising on a series of sale and purchase agreements involving multiple parcels of lands under a master land title to various purchasers and the hotel management agreement with one of the purchasers to manage the hotel, convention hall and other commercial properties to be developed by the vendor.
